These Terms of Service (“Terms”) govern your access to and use of Pitcha (the “Service”), a free speech social networking application operated by Zella, a for-profit organization (“Zella”, “we”, “us”, or “our”). By accessing or using the Service, you agree to abide by these Terms. If you do not agree with any portion of these Terms, you must discontinue your use of the Service immediately.

By using Pitcha, you enter into a binding legal agreement with Zella under these Terms. Your use of the Service constitutes acceptance of these Terms and any modifications that may occur from time to time. We encourage you to review these Terms periodically as they govern your access to the Service.

2. Eligibility and Minimum Age Requirement

You must be at least 13 years of age to use Pitcha. In any jurisdiction where local law or state regulations impose a higher minimum age requirement for using social networking applications, you must comply with such stricter requirement. By using our Service, you represent and warrant that you meet these age requirements. If you do not, you must immediately cease using the Service.

We reserve the right to update, modify, or revise these Terms at any time in our sole discretion. Ad Display: Pitcha displays advertisements as a revenue source to support the costs of operating and maintaining the Service. These advertisements may be provided by third parties.

Third-Party Ads: The content, accuracy, and reliability of third-party advertisements are not under the control of Zella. We make no warranties or representations regarding the products, services, or claims made in any such advertisements.

User Consent: By using Pitcha, you agree that advertisements will be presented alongside the Service. Zella is not responsible for any transactions resulting from your interactions with these ads.

9. Intellectual Property Rights

Service Content: All design elements, logos, graphics, and other intellectual property on Pitcha are the property of Zella or its licensors. You may access and view such content solely for personal, non-commercial purposes unless expressly permitted otherwise.

User License for Content: By submitting User Content, you grant Zella a worldwide, irrevocable, royalty-free license to use, reproduce, modify, distribute, display, and create derivative works of such content for the operation and promotion of the Service.

Copyright Policy:Copyright Policy: Zella respects the intellectual property rights of others. If you believe that any User Content on Pitcha infringes your copyright, please notify us via with a detailed description of the alleged infringement. Our procedures are guided by the provisions of the Digital Millennium Copyright Act (DMCA) or corresponding international law.

10. Monetization System and Content Earnings

Revenue Streams for Creators:

Pitcha provides a multi-faceted monetization ecosystem where users can generate revenue through three primary channels: (a) Virtual Gifts: Users can receive digital tokens or gifts directly on their public content (posts, images, videos, and livestreams) or via their personal profile page; (b) Subscription Content: Creators may gate specific media behind a paywall, accessible only to paying subscribers; (c) Communities: Creators can establish dedicated Communities. These Communities may be 'Free' (open to all) or 'Premium' (requiring a user-defined one-time or recurring fee). Premium Community content is strictly exclusive to members who have successfully processed their entry payment.

Platform Commission and Fees:

All earnings generated within the Service are subject to a revenue-sharing model. Zella group retains a platform commission of 20% to 30% of the gross transaction value. This percentage is calculated and deducted only after the deduction of applicable government taxes and third-party transaction processing fees (such as App Store commissions or banking gateway fees). By participating in the monetization program, creators acknowledge that their take-home earnings represent the net amount after these mandatory deductions.

11. Payouts, Verification, and Refund Protocols

Mandatory Holding Period and KYC:

To ensure the financial stability of the platform and protect against fraudulent chargebacks, all earned funds are placed in a 'Pending' status for a period of sixty (60) days from the date of the transaction. Funds will only transition to 'Available for Withdrawal' once this period expires. Furthermore, withdrawal of funds is strictly limited to 'Verified' users. Verification requires the completion of a Know Your Customer (KYC) process, which involves submitting valid government identification. This measure is a mandatory global standard to prevent money laundering and ensure secure financial transfers.

Refund Eligibility and Discretion:

Payments made for Community access or virtual gifts are generally final. However, a user may request a refund if they provide a formal report demonstrating that the creator has breached Pitcha’s Terms of Service or Safety Standards. Refunds are only possible if the funds remain 'unspent' and have not yet been distributed to the creator. Refunds will not be granted for services consumed over extended time intervals or where content has already been accessed. Zella group maintains the final, non-negotiable authority to decide whether a refund request meets the criteria for reversal or if the funds must remain with the platform.

12. Disclaimer of Warranties

Service Availability: Pitcha is provided on an “AS IS” and “AS AVAILABLE” basis. Zella disclaims any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantees: We do not guarantee uninterrupted, error-free, or secure access to the Service. Any reliance you place on content or communications through Pitcha is solely at your own risk.

Third-Party Content: We provide the Service without revising, screening, or verifying User Content or third-party information; therefore, we do not warrant or guarantee the accuracy or completeness of such content.
